Terms of service
Effective as of: June 17, 2026
These Terms of Trade outline the conditions under which WEMS supplies goods and services. By purchasing from us, you agree to the following terms:
1. Quotations & Pricing
All quotes provided are valid for 30 days, unless stated otherwise, and are based on the information provided at the time of quoting.
Prices are quoted in AUD (Australian Dollars) and are exclusive of GST unless otherwise stated.
WEMS reserves the right to adjust pricing if project specifications, materials, the site or installation varies, the scope of work changes, or in the event of supplier cost changes or errors.
Where applicable, freight, delivery or installation charges may be added to the order.
Any additional work requested by the Customer will be charged accordingly.
2. Orders
Orders for Fabrication or Engineering Services
Orders for custom fabrication, engineering or installation services may require a deposit prior to work commencing, as well as approval of drawings or specifications and/or confirmation of project scope
Production will not begin until the order has been confirmed and any required deposit has been received.
Website Orders (Catalogue Products)
Orders placed through the WEMS website for catalogue products are subject to the following conditions:
- Orders are considered confirmed once payment has been successfully processed.
- WEMS reserves the right to cancel or refuse any order if products are unavailable or incorrectly priced.
- Customers must ensure that all information provided at checkout is accurate.
If a product becomes unavailable after purchase, WEMS will contact the customer to offer an alternative, backorder option, or refund.
3. Payment Terms
Payment terms vary depending on the type of purchase.
Website Purchases
All catalogue products purchased through the website must be paid in full at the time of ordering.
Accepted payment methods may include Credit card, Debit card, Secure online payment platforms, other payment methods listed at checkout.
Orders will not be dispatched until payment has been confirmed.
Trade Accounts or Quoted Projects
Unless otherwise agreed in writing:
Payment is due within 7–14 days from the date of invoice.
WEMS may require progress payments for larger projects.
Failure to make payment by the due date may result in suspension of work or supply.
4. Delivery and Collection
Delivery times provided by WEMS are estimates only and may be affected by:
- Stock availability
- Manufacturing timelines
- Freight provider schedules
- External factors outside WEMS’ control
Risk in the goods passes to the Customer upon delivery or collection.
Customers may also arrange collection from the WEMS workshop where applicable.
5. Title and Ownership
Ownership of goods supplied by WEMS remains with WEMS until full payment has been received.
Until ownership transfers, the Customer must:
- Store goods safely
- Ensure they remain identifiable as WEMS property
- Not resell or dispose of them without written permission
6. Warranty
WEMS warrants that goods and services will be supplied with reasonable care and skill.
Warranty does not apply where damage occurs due to misuse or improper installation, modifications by third parties, normal wear and tear or failure to follow operational instructions
7. Limitation of Liability
To the extent permitted by law, WEMS will not be liable for indirect or consequential loss, loss of production or profits, or damage resulting from misuse of goods
Where liability cannot be excluded under Australian Consumer Law, it is limited to repair, replacement or refund.
8. Intellectual Property
All drawings, designs, specifications or technical documentation created by WEMS remain the intellectual property of WEMS unless otherwise agreed in writing.
These materials may not be reproduced or distributed without written permission.
9. Cancellations
Orders may only be cancelled with written approval from WEMS.
Where materials have been ordered or fabrication has commenced, WEMS reserves the right to charge for materials purchased, labour completed, and administrative costs.
10. Force Majeure
WEMS will not be liable for failure to fulfil obligations where delays occur due to events beyond reasonable control, including natural disasters, supply chain disruptions, industrial disputes, government restrictions.
11. Governing Law
These Terms of Trade are governed by the laws of South Australia.
Any disputes arising from these terms will be subject to the jurisdiction of South Australian courts.
12. Amendments
WEMS reserves the right to update these Terms of Trade at any time. Updated versions will be published on the WEMS website.
